The short version: Cerebral is a financial awareness tool, not a financial advisor. We show you what's happening with your money based on your real data. Nothing we show you is investment, legal, or tax advice. Use it to get clarity — then make your own decisions or consult a licensed professional.
1. Agreement to Terms
By creating an account, accessing, or using the Cerebral platform (the "Service"), you agree to be bound by these Terms of Service ("Terms") and our Privacy Policy, which are incorporated herein by reference.
If you do not agree to these Terms, do not use the Service.
These Terms constitute a legally binding agreement between you and Cerebral Wealth Inc., a corporation incorporated in Canada ("Cerebral," "we," "us," or "our").
2. Eligibility
You must be at least 18 years of age to use Cerebral.
You must be a resident of Canada.
You must have the legal capacity to enter into a binding agreement.
You must not be prohibited from using the Service under applicable law.
By using the Service, you represent and warrant that you meet all eligibility requirements.
3. Not Financial Advice — Important Disclaimer
IMPORTANT: Cerebral is not a financial advisor, investment advisor, portfolio manager, or registered dealer.
All content, insights, AI-generated responses, observations, and information provided through the Service (collectively, "Content") are for informational and educational purposes only. Nothing in the Service constitutes:
Financial, investment, or securities advice
Tax or legal advice
A recommendation to buy, sell, or hold any financial product or security
A solicitation or offer to provide investment management services
Cerebral is not registered with any provincial securities commission, the Investment Industry Regulatory Organization of Canada (IIROC), or any other regulatory body as an investment advisor or dealer.
Always consult a qualified, licensed financial professional before making financial decisions. Past financial patterns shown in the app are not indicative of future results.
4. The Service
What Cerebral does
Cerebral connects to your bank accounts with read-only access (via Plaid) and provides:
A consolidated view of your accounts, balances, and transactions
AI-generated observations and patterns based on your financial data
An AI assistant that can answer general and personalized financial questions
Spending analysis, net worth tracking, and financial awareness tools
What Cerebral does not do
Cerebral cannot and will never move, transfer, or withdraw your money
Cerebral does not execute trades or investments on your behalf
Cerebral does not manage your portfolio or act as your agent
AI-generated content
Cerebral uses artificial intelligence to generate insights and responses. AI-generated content may be inaccurate, incomplete, or not applicable to your specific situation. You should independently verify any information before acting on it. We are not liable for decisions you make based on AI-generated content.
5. Account Registration
You must provide accurate, current, and complete information when creating your account.
You are responsible for maintaining the confidentiality of your login credentials.
You are responsible for all activity that occurs under your account.
You must notify us immediately at contact@cerebralwealth.app if you suspect unauthorized access to your account.
You may not create more than one account per person.
6. Bank Account Connection
When you connect your bank accounts through Plaid, you authorize Cerebral and Plaid to access your account information on a read-only basis. You represent that:
You are the authorized owner or user of the bank accounts you connect
You have the right to share access to those accounts for the purpose of using the Service
You will only connect accounts you are legally authorized to access
You may disconnect your bank accounts at any time from within the app. Disconnecting will stop future data retrieval but will not delete previously retrieved data unless you also delete your account.
7. Subscription and Billing
Free plan
Cerebral offers a free tier with limited features. No payment information is required for the free plan.
Paid plans
Premium features are available through paid subscription plans (Growth and Pro). By subscribing to a paid plan, you agree to:
Pay the applicable subscription fee on a recurring monthly basis
Provide accurate and current billing information
Authorize us to charge your payment method through Stripe on the billing cycle date
Billing and renewals
Subscriptions automatically renew at the end of each billing period unless cancelled
You will be charged on the same day of each month as your original subscription date
We will notify you of any price changes at least 30 days in advance
All prices are in Canadian dollars (CAD) and are inclusive of applicable taxes
Cancellation
You may cancel your subscription at any time through the app under Profile → Manage Subscription
Cancellation takes effect at the end of the current billing period
You will retain access to paid features until the end of the paid period
We do not offer partial refunds for unused portions of a billing period
Refunds
All subscription fees are non-refundable except where required by applicable Canadian consumer protection law. If you believe you are entitled to a refund, contact us at contact@cerebralwealth.app within 14 days of the charge.
8. Acceptable Use
You agree not to:
Use the Service for any unlawful purpose or in violation of these Terms
Attempt to gain unauthorized access to any part of the Service or its infrastructure
Reverse engineer, decompile, or disassemble any part of the Service
Scrape, crawl, or extract data from the Service using automated tools
Use the Service to transmit malware, spam, or harmful code
Impersonate another person or entity
Share your account credentials with others
Use the Service for commercial purposes without our written consent
Attempt to circumvent any security, access control, or billing mechanism
Use the Service in any way that could damage, disable, or impair it
9. Intellectual Property
All content, features, design, code, trademarks, and materials comprising the Service are owned by Cerebral Wealth Inc. or its licensors and are protected by Canadian copyright, trademark, and other intellectual property laws.
We grant you a limited, non-exclusive, non-transferable, revocable licence to access and use the Service for your personal, non-commercial use, subject to these Terms.
You retain ownership of your personal and financial data. By using the Service, you grant us a limited licence to process that data solely to provide and improve the Service.
10. Third-Party Services
The Service integrates with third-party services including Plaid, OpenAI, Stripe, and others. Your use of these third-party services is subject to their own terms and privacy policies. We are not responsible for the practices or content of third-party services.
11. Service Availability
We aim to keep Cerebral available at all times but do not guarantee uninterrupted access. The Service may be temporarily unavailable due to maintenance, upgrades, or circumstances beyond our control. We will provide reasonable notice of planned downtime where possible.
12. Disclaimer of Warranties
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
We do not warrant that:
The Service will be error-free or uninterrupted
Financial data retrieved will be accurate, complete, or current at all times
AI-generated insights will be accurate or suitable for your circumstances
The Service will meet your specific requirements
13. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, CEREBRAL FINANCIAL INC. AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR:
Any indirect, incidental, special, consequential, or punitive damages
Any financial losses resulting from your reliance on information provided through the Service
Any unauthorized access to or alteration of your data
Any loss of profits, revenue, data, or goodwill
Any damages arising from your use of or inability to use the Service
Our total liability to you for any claims arising from these Terms or the Service shall not exceed the amount you paid us in the 12 months preceding the claim, or $100 CAD if you are on the free plan.
Some jurisdictions do not allow the exclusion of certain warranties or limitation of liability, so the above limitations may not apply to you.
14. Indemnification
You agree to indemnify, defend, and hold harmless Cerebral Wealth Inc. and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising from your use of the Service, your violation of these Terms, or your violation of any third-party rights.
15. Termination
We may suspend or terminate your account at any time if you violate these Terms, for non-payment, or if we discontinue the Service, with reasonable notice where practicable.
You may terminate your account at any time by deleting it within the app or contacting us. Upon termination, your right to use the Service ceases and we will delete your data in accordance with our Privacy Policy.
16. Governing Law and Dispute Resolution
These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict of law principles.
Any dispute arising from these Terms or your use of the Service shall first be attempted to be resolved through good-faith negotiation. If unresolved after 30 days, disputes shall be submitted to binding arbitration in Toronto, Ontario, under the arbitration rules of the ADR Institute of Canada, before a single arbitrator.
Notwithstanding the above, either party may seek injunctive or equitable relief in a court of competent jurisdiction.
17. Changes to These Terms
We may update these Terms from time to time. We will notify you of material changes by email and/or prominent notice within the app at least 14 days before the changes take effect. Your continued use of the Service after the effective date constitutes your acceptance of the updated Terms.
If you do not agree with the updated Terms, you must stop using the Service and delete your account before the effective date.
18. Miscellaneous
Entire agreement: These Terms and our Privacy Policy constitute the entire agreement between you and Cerebral regarding the Service.
Severability: If any provision of these Terms is found unenforceable, the remaining provisions continue in full force.
Waiver: Our failure to enforce any provision is not a waiver of our right to do so in the future.
Assignment: You may not assign your rights under these Terms. We may assign ours in connection with a merger, acquisition, or sale of assets.
Language: These Terms are written in English. In the event of a conflict between an English and French version, the English version prevails (except in Quebec, where French governs).
